Chapter I - Generalities
Article 1: Objectives
In order to facilitate, strengthen and make effective the role and activities of export, service, scientific organizations and so on which are related to the export of goods and services, and also make an attempt to resolve common problems and help organizations to achieve the common goals of aforementioned organizations and the development of the country's exports, "Assembly of Iran Export (Confederation) " by the virtue of paragraph (k), Article (5) of the Chamber of Commerce, Industries and Mines is formed in accordance with the following provisions:
Article 2: The name of Iran Export Assembly (Confederation)
. Article 3: Identity
Assembly (confederation) of Iran Exports, in the statute is briefly named Assembly (Conference). In accordance with paragraph (k), Article (5) of the Chamber of Commerce, Industries and Mines (15.12.1369 approved the amendment 15.9.1373) and with the approval and supervision "of Iran Chamber" the Assembly (Confederation) of Iran Export is formed and has an independent legal personality and financial autonomy, and acts as union, scientific, professional, non-political, non-commercial and non-profit sector.
Article 4: Citizenship
The citizenship of Assembly (Conference) is Iranian.
Article 5: Residence
The official residence of Assembly (confederation) is in Tehran. In addition to locating the headquarters of Assembly (Confederation) is the board of directors’ authority.
Note: If the official residence of Assembly (Confederation) is changed, it has to be informed through the widely circulated newspaper ads and also in written form to the Chamber of Commerce, Industries and Mines.
Article 6: Activity Area
The activity of Assembly (Confederation) is throughout Iran. Assembly (Confederation) can have a branch in provinces’ centers and also in small cities a representative if it is necessary after approval of the board of directors and Chamber of Commerce’s confirmation.
Note: The terms of branches and representatives must comply with the relevant executive regulations of Chamber of Commerce, Industries and Mines of Iran.
Article 7: Duration
The term of Assembly (Confederation)’s activity is unlimited.

Second Chapter
Article 8: The duties and authorities of the Assembly (Confederation) include:
In order to facilitate, strengthen and make effective the role and activities of export, service, scientific organizations and so on which are related to the export of goods and services, and also make an attempt to resolve common problems and help organizations to achieve the common goals of aforementioned organizations and the development of the country's exports are described in following:
8.1- attempting to organize and develop exports of goods and services.
8.2- Continuous marketing based on information regarding supply and demand, price, consumption markets and production to supply to the members of member organizations by employing the latest global approaches to attain the legal goals of industrial development and export jump.
8.3- mass participation in decision-making, taking decision and the preparation of draft, acts related to exports of goods and services in order to protect national interests and members of member organizations,
8.4- Making connection with banks, Iranian credit organizations and international monetary and financial organizations within the framework of the Islamic Republic of Iran’s laws and also providing financial facilities to develop the members activities of member organizations.
8.5- Making information bank regarding the goals and duties of Assembly (Confederation) and also informing via making notifying network, publishing books, magazines, specialized brochures, bartering information relevant to exports and other economic activities through the similar organizations in national and international levels.
8-6- Promoting reputation of the member organizations through organizing and creating good relations between us.
8-7- Any scientific activity, research in the country and abroad within the framework of laws to achieve the development goals of the country's exports of goods and services.
8.8 Protection of common interests and providing legal services and advice to their member organizations.
8-9- Encouragement and protection of investments in that part of production increasing the goods or services supply.
8-10- Efforts to develop the global goods markets, service export and create opportunities for all members of member organizations to enter these markets.
8-11- Participation in the formulation and implementation of standards required to export goods and services.
8-12- Introducing the member organizations to various ministries and agencies to use required services and facilities.
8.13-Presenting executive suggestions to concerned organizations, ministries, institutes to solve ahead problems of goods and services exports and sending its transcript to the Chamber of Commerce, Industries and Mines of Iran to be informed.
8-14 Holding training course, conducting scientific research, industrial, commercial required for members of member organizations and also holding symposiums, round tables and participating in different domestic and foreign conferences, translating, compiling scientific articles to strengthen and develop exports and prosperity of national economy.
8-15- Holding or participating in local and international exhibitions related to the objectives of the Assembly (Confederation).
8-16- Efforts to attract capital, technology, management, technical knowledge and foreign skilled manpower for the growth and development of exports and strengthening the national economy
8-17- Sending trade delegations as well as marketing staff to foreign countries and hosting trade delegations and marketing staff from foreign countries.
Season 3
Chapter III - Membership and conditions
Article 9: Assembly (Confederation) has three types of members:
9.1 Major Member: All export organizations (goods and services), export-manufacturing organizations, provincial general export organizations, and financial institutions of export development (non-government funds of export development etc.) affiliated to the Chamber of Commerce, Industries and Mines of Iran, will be accepted as a major member of the assembly by the approval of the board of directors of Assembly (Conference). Qualified organizations by nominating a person as their representative to the General Assembly, make their membership.
9.2 Affiliated Member: Organizations that provide ancillary services of goods exports and having service activities, holdings and export complexes can be affiliated membership of Assembly (Confederation) in future if the board of directors of Assembly (Confederation) approve.
9.3 Honorary Membership: Superior national and provincial exporters, permanent figures, elite and veteran exports, those exports have done outstanding service, professors, researchers of exports with the approval of the board of directors of Assembly (Confederation), can have honorary membership of Assembly (Confederation) in the future.
Article 10: Accepting a new member will be subject to a majority vote of the board of directors.
In case of objection, the applicant can do much to address and decide the Chamber of Commerce, Industries and Mines of Iran. Decision of the Chamber of Iran’s Commerce in this regard is final and binding.
Article 11: Being activated, the affiliated organizations must be approved by the Commission of Iran Chamber Organizations.
Note: The board of directors of Assembly (Confederation) before holding the annual General Assemblies and also emergency Assemblies meetings, must have the Chamber of Commerce’s approval in order to show the member organizations’ activity and also must obtain and inquire it in written form.
Article 12: Membership of organizations in the Assembly (Confederation) wouldn’t be in conflict with their financial and legal independence.
Season 4
Chapter IV - Pillars
Article 13: The pillars of Assembly (Confederation) include:
- General Assembly
- Board of Directors
- Inspector
- Secretary General
Article 14: General Assembly
The General Assembly is the highest decision-making body composed of members or official representatives of the major members of Assembly (Confederation).
14-1- Holding the General Assembly meeting is done by once advertising in one of the widely circulated newspapers and at least fifteen days before the General Assembly meeting by announcing the day, time and venue of it, is conducted .Also, "separate invitation signed by a member of the board of directors or secretary general or inspector will be sent to members.
14-2- The representatives of each major member of the Assembly (Confederation) to join the General Assembly, must be a member of board of directors or a secretary in their organizations.
Note: The representatives of organizations preferably must be a chairman or vice chairman of the Board of Directors in their organizations.
14-3- Each member of the General Assembly (a real character) can accept the proxy of two other real characters.
14-4- The General Assembly meeting (ordinary and emergency) with the presence of relative majority of major members (half plus one) will recognize and its acts with the positive votes of half plus one member present at the meeting is valid.
14-5- Taking vote in the General Assemblies of Assembly (Confederation) is in written form and secret way.
14-6- When the Assembly is recognized, at first the oldest one present in the meeting is an aged chairman to preside the meeting and for electing a chairman, two observers and a secretary vote taking is done immediately, then an elected board of directors preside the Assembly meeting.
14-7- At first the secretary gives the name of present participants in the Assembly meeting to the General Assembly’s board of directors to sign in proceedings form, then the elected board of directors presides the General Assembly meeting.
14-8-Acts of the Assembly within the framework of the Assembly’s (Confederation) statute are binding for all members.
14-9- The Chamber of Commerce, Industries and Mines of Iran’s representative’s presence in all meetings of the General Assembly (ordinary and emergency) as an observer is essential and also without voting right will comment, providing that being invited by the Assembly (Confederation).
14-10- Secretariat of the Assembly (Confederation) must send a copy of all acts of the General Assemblies (ordinary and emergency) to the Chamber of Commerce, Industries and Mines of Iran.
Article 15: General Assemblies are two types:
- Ordinary and the emergency general assembly,
- Emergency General Assembly.
Article 16: The ordinary General Assembly once a year (preferably in the first quarter of solar year-Hijri Shamsi) is formed under article 14.
Holding the ordinary General Assembly in emergency way to any number which is required is permitted.
Article 17: The duties of ordinary General Assembly and ordinary one in emergency are as follow:
17-1- Hearing the report of the board of directors on previous year's performance,
17-2-Hearing the report of the Treasurer on the current year’s budget and turnover of previous year and also their approval.
17-3- Approving the board of directors’ proposal on the entrance and membership fee of members. 17-4- Hearing the report of the inspector.
17-5- Approving the Assembly’s (Confederation) balance sheet and annual financial report.
17-6- Determining policy of Assembly (Confederation) and review and take a decision on the proposals of the board of directors for the current year.
17-7- Electing the main and alternate members of the board of directors among the members of the General Assembly,
17-8- Electing the main and alternate inspectors among the members of the General Assembly. 17-9- Electing widely circulated newspaper.
Article 18: The board of directors must hold a General Assembly of both ordinary and emergency under article 14 at least 20 days before the end of the current incumbency of the board members.
In any case, until the formation of new board of directors, the previous board of directors still has responsibility and in case of non-invitation to the Assembly by the board of directors, an inspector, the Chamber of Commerce, Industries, and Mines of Iran can take an action to hold the General Assembly.
Article19: Ordinary General Assembly can be held in emergency way when it is necessary if the board of directors and an inspector are invited by observing Article 14 of the Statute.
Article 20: Emergency General Assembly by attended at least two thirds of the major members of the Assembly (Confederation) will be recognized and decisions of the Assembly are approved by three quarters of the present members’ vote at the meeting.
If the emergency General Assembly is not recognized because of the lack of quorum, the next meeting is held within 20 days outmost by observing article 14 of statute, having ad in a newspaper and inviting the members and also the second meeting of General Assembly is recognized by the presence of at least half and plus one major member of Assembly (Confederation) and also the Assembly’s decisions are approved by two thirds of attending members.
Article 21: In accordance with article 14 of statute, if it is identified to hold the ordinary General Assembly in emergency way, an inspector announces it to the board of directors and the board of directors can hold the meeting within 15 days outmost from the date of receipt of the inspector’s request.
In case of refusal to convene the General Assembly by the board of directors, the inspector can hold it directly by observing Article 14 of the Statute.
Article 22: If ordinary Annual General Meeting is not recognized due to lack of quorum, the next meeting is held within 20 days outmost by observing article 14 of statute, it can be held by having ad in a newspaper and inviting the members and also the second meeting of General Assembly is recognized by any number of participants.
Article 23: The duties and powers of the emergency General Assembly include:
A: Modification of the Assembly’s (Confederation) statute.
B: Individual or collective deposition, board of directors or inspects and select an alternative in such cases.
C: The dissolution of the Assembly (Confederation) and select members of liquidation.
Note: Decisions of emergency General Assembly regarding the dissolution of Assembly (Confederation) will be valid and effective if the Assembly meeting is held by attending at least two third of the major members of Assembly (Confederation) and also is recognized and its decisions with three quarters of present members are approved.
Article 24: In case of resignation from membership, dismissal or dissolution of an organization in which its representative has a position in the Assembly’s (Confederation) pillars, the representative’s mission is canceled.
Article 25: if the representative of a member organization of Assembly (Confederation) after being elected in pillars and being put away from the membership of his organization for any reason, after organization announcement, he will be deposed from the position he has in the Assembly (Confederation) automatically and does not have any responsibility anymore and he will be as an alternate member and in case of necessity an election will be done in accordance with regulations.
Note: The representative of export organization’s board of directors who is elected in the pillars of Assembly (Confederation), the organization must inform the Assembly (Confederation) in written form if its representative leave there for any case.
Article 26: Board of Directors
26-1 The Assembly (Confederation) is presided by a board of directors consists of 7 major members, 2 alternate members who are elected by the ordinary General Assembly or the ordinary one in emergency way among the members of General Assembly for three year-incumbency.
26-2 After ending the board of directors’ mission period, all the responsibilities are undertaken by the previous board of directors until the new one is formed.
26-3 Electing every member of previous board of directors for next periods is allowed.
.Article 27: The new board of directors after being elected certainly, must select one person as a chairman, two persons as vice chairmen, one person as a treasurer and one person as a secretary among its members.
Note: A head of the board of directors is a chairman of Assembly (Confederation) and also Assembly is under his management.
Article 28: The incumbency period of each member of board of directors’ positions is not more than their membership period in the board of directors. Those people have position can be deposed or re-elected by the board of directors.
Article 29: By written invitation of the chairman or a vice chairman or a general secretary, the board of directors is held in case of emergency or during some periods which is determined.
The board of directors’ meeting is held in the major center of Assembly (Confederation) or somewhere else which is mentioned in an invitation card.
Article 30: In case of resignation, demise or deposition of each member of the board of directors, an alternate member gaining more votes will be substituted for a major member for the rest period of the board of directors. If the alternate members have the same votes, their selecting in the board of directors is done by drawing lot.
Article 31: By the presence of relative majority who have the right of vote, the board of directors’ meetings is recognized.
Article 32: Presiding the board of directors’ meetings is done by the board of directors’ chairman and in case of his absence, it is presided by one of his vice-chairmen and in case of both chairman and vice chairman’s absence, other board of directors’ members select a person who is present in the meeting to undertake the chairman’s duties relevant to preside the meeting.
Article 33: The board of directors’ acts is valid by the half majority vote and one who is present in the meeting.
Article 34: The proceedings and decisions of the board of directors are registered and also signed by the present participants.
Article 35: The board of directors selects a real person as a general secretary out of the board of directors’ members.
Note: The board of directors can assign some parts of its authority to the general secretary with its own responsibility.
Note 2: The board of directors can invite the alternate members of board of directors and also inspectors (major or alternate) to be present in the board of directors’ meetings but without having vote right.
Note 3: the general secretary can attend in the board of directors’ meeting without having vote right.
Article 36: To do administrative affairs of the Assembly (Confederation) such as correspondence and telecommunications registration and also its writing and duplication, classification, record, Keeping and maintaining documents, providing statistics and required information and also its protection, collecting laws and regulations and circulars relevant to the Assembly’s (Confederation) activities, making file for members and registering their membership, doing administrative ceremonies related to publishing ads and sending invitation cards, taking applications for membership in the board of directors and inspection, taking references of member organizations’ representatives to enter the Assemblies, providing required facilities to form the General Assemblies, drawing up required questionnaires to employ required staff, controlling performance quality, calling attendance of staff, Maintenance, repair of belongings and servicing them in an apt time, providing administrative reports about in progress affairs and also any action to preside the Assembly’s (Confederation) affairs, a secretariat is established to manage the aforementioned tasks under supervision of the general secretary and also under supervision of the board of directors’ chairman.
Article 37: Duties and powers of the board of directors
The board of directors is a legal representative of the Assembly (Confederation) and has all legal authorities to preside the Assembly’s (Confederation) affairs. The most important duties and powers of the board of directors as follow:
37-1 Opening current account in the name of the Assembly (Confederation) in allowed banks and deposit all funds of the Assembly (Confederation) and pay the expenses from that bank account and in case of necessity taking loan.
37-2 Doing financial and monetary operations and financial obligations in accordance with the board of directors’ powers and also giving annual report of its financial operations and actions to the General Assembly.
37-3 Making any contract and turning and changing it into purchase and sale, Leasing and acquisition of movable and immovable property in the name and account of the Assembly (Confederation) without any commercial intention and motivation to attract interest.
37-4 Managing financial affairs of the Assembly (Confederation)
37-5 Receiving claims of the Assembly (Confederation) and paying debts.
37-6 Employing, deposing and appointing the general secretary and staff of the Assembly (Confederation) and determining job, salary, wage and other payments, promotion, punishment and determining the other conditions of employment within
37-7 Establishing and returning the punitive and legal lawsuit by having all authorities to refer to courts to address proceedings and having right to appeal in provincial courts and Supreme court, compromising, determining a lawyer, applying rights and relevant affairs to arbitration.
37-8 Any action which is in within rules and regulations, its performance by government officials of the Islamic Republic of Iran is assigned to the Assembly (Confederation).
37-9 Doing those actions which is in accordance with legal principals to preside the Assembly (Confederation) and advancing aims, and also they are not banned in the statute.
37-10 Determining and sending a representative to councils, commissions, committees, delegations, economic authorities, services, manufacturing, specialized, domestic and foreign technical.
37-11 Preparing, composing and approving regulations and internal laws to preside the Assembly’s (Confederation) affairs better within the statute.
37-12 Guiding members in economic, commercial, exports, exchange rate, banking, transportation, inspection, executive, management, financial, tax, insurance affairs, contract and legal affairs if they are referred to the Assembly (Confederation).
37-13 Composing budget draft of the Assembly (Confederation)
37-14 Preparing property and debts’ bill of the Assembly (Confederation), drawing up a balance and previous years count function in order to submit to the General assembly.
37-15 The board of directors can dismiss an offended member of the Assembly (Confederation) who is not in line with the goals and statute’s regulations of the Assembly and also sends a report about the reasons of his dismissal to the General Assembly.
A dismissed member in case of protest can inform the Chamber of Commerce, Industries, Mine of Iran to take decision and hold inquest. Also The Assembly can approve or annul the board of directors’ decision in this regard, but the Iran Chamber of Commerce’s decision in this regard is peremptory.
37-16 Holding union and specialized conferences by inviting the pundits to improve the quality of the members’ knowledge level.
37-17 Preparing the annual and six-month reports from the Assembly’s (Confederation) performance and sending it to Iran Chamber of Commerce.
37-18 Approving salary, perks and managers’ bonus within the organization chart based on the general secretary’s proposal.
37-19 Determining policies and also macro policies of the Assembly (Confederation)
37-20 Composing the short-term, mid-term and long-term of the Assembly’s (Confederation) programs.
37-21 Preparing executive strategies and methods to develop the Assembly (Confederation).
Article 38: General Secretary’s authorities are determined by the board of directors. The most important duties of the general secretary are as follow:
38-1 Composing (the short-term, mid-term and long-term) of the Assembly’s (Confederation) programs and presenting them to the board of directors to be approved and discussed.
38-2 Composing the Assembly’s (Confederation) budget with the treasurer’s cooperation and collaboration and sending it to the board of directors to be discussed and approved.

Chapter V - Financial Resources
Article 43: Organizations seeking membership in the "Assembly (Confederation) should deposit the Entrance fee to the current account of the Assembly (Confederation) and submit the deposit receipt to the Secretariat.
Article 44: In addition to the entrance fee, each member must deposit the designated annual membership fee to the current account of the Assembly (Confederation) and submits the receipt to the Secretariat.
Article 45: The Assembly (Confederation) can have gifts, donations, endowment, accepting will, cash and non-cash donations of members or third parties, ministries, corporations and governmental agencies and public institutions and in case of necessity, by the board of directors’ approval it can get loans and credits from banks and credit institutions, companies and individuals members..
Article 46: The board of directors can provides services to members and non-members, holding specialized exhibitions and seminars, workshops, publication of books and also publications, and so on and sending business, marketing delegations etc. to meet the Assembly (confederation) costs.
Season 6
Chapter VI – Dissolution and Liquidation
Article 47: The Assembly (Conference) is dissolved by the emergency General Assembly’s decisions or final and conclusive vote of judicial laws.
Article 48: If the Assembly (Confederation) is dissolved by the emergency General Assembly, the Assembly forms a liquidation committee consisting of three members of the member organizations. The selection of the board of directors' members before the dissolution in position of liquidation committee’s members is permitted. If the Assembly (Confederation) is dissolved by
Judicial authorities, the liquidation committee is determined by them.
Article 49: After the dissolution announcement of the Assembly (Confederation)" and selecting members of the liquidation committee, the former directors of Assembly (Confederation) must submit and also make transactions of all papers, documents and property of the Assembly (Confederation).
Article 50: The liquidation committee clarifies the conditions of debts and assets by supervision of the Chamber of Commerce, Industries and Mines of Iran and after settling, all moveable and real properties are under control of the Chamber of Commerce, Industries and Mines of Iran.
Article 51: The duties, powers and responsibilities of the liquidation committee in relation to actual assets, claims and debts of the Assembly (Confederation) and also, in general, the liquidation is done in accordance with reform bill as a part of the Commercial Codes approved 12.24.1374 and the statute substances.
Season 7
Chapter VII – Miscellaneous Cases
Article 52: Assembly (confederation) to advance the goals, tasks and fulfils its duties, can make permanent and temporary specialized commissions as it needs from whom are among the managers and members of the Assembly (Confederation). Tasks and activities of each Commission, its number of members and how it is selected, how a commission acts and being managed and also how it dissolved is based on a bylaw prepared and approved by the board of directors.
Article 53: The Assembly (Confederation) can employ a number of required commercial, customs, banking, foreign exchange, insurance, inspection, transportation and transit, legal, fair, informatics, economic consultants etc. out of the Assembly’s (Confederation) members to promote and advance its affairs.
Article 54: Arbitration
The Assembly (Confederation) in relation to its the public and specialized affairs and in case of need to Arbitration (adjudication) can solve the problem via Adjudication Center of the Chamber of Commerce, Industries and Mines of Iran.
Article 55: If the statute needs to be changed, it is done by the Chamber of Commerce, Industries and Mines of Iran and also the Chamber’s decision is conclusive and binding.
Article 56: This Statute in 7 chapters, 56 articles and 11 amendments is approved on 18/8/1384 by the General Assembly of Assembly (Confederation) Founder of Iran Exports composing of representatives of organizations exports’ (goods and services) members of Assembly (Confederation).
